Stümpges & Partner acted as consultant in the merger of two German property companies with the legal form GmbH and an English LLP, aimed at optimising business management of the group and avoiding future tax risks.

Prior to the merger, the owner structure abroad had to be adapted, and extensive binding information obtained concerning exemption from land acquisition tax in accordance with the group clause as well as concerning exemption from income tax under transformation tax law.

Stümpges & Partner was also the contact point for all questions of the English and German lawyers, the foreign auditor and the German notary. The binding information met with a positive response, and the successful entry of the merger followed in December 2014/January 2015.
